VIII. Executive Board
The members of the Executive Board (Board) shall be the President, Vice President, Secretary, Treasurer, and chairpersons of the standing committees. The aforementioned shall comprise the voting members of the Board.
Five (5) Board members shall be considered a quorum for the purpose of conducting business. The Executive Board shall have the power to act on club business between general membership meetings; establish the agenda for general membership meetings, plan fundraising and volunteer activities; consider for approval actions recommended by both the standing and special committees for consideration of the general membership; and other actions as necessary to fulfill the NWTP Mission Statement and Purpose.
Executive Board meeting shall be open to attendance by any member in good standing. Members in good standing wishing to speak at a meeting must, request and receive the sponsorship of a voting Executive Board member prior to the meeting in order that their topic of discussion may be placed on the agenda. Additionally, any voting Board member may request comments from non-board members in attendance at Board meetings.
Any voting Board member may call a “special” meeting of the Executive Board for discussion of a specific issue with the concurrence of at least three (3) other Executive Board members, who will form the required quorum. Due to the urgent nature of “special” meetings, the general membership will not be notified but will be advised of the topic(s) discussed and actions taken either at the next general membership meeting. In the interest of time a telephone conference call or email exchange may take the place of a face-to-face special meeting.
Candidates for the offices of President and Vice President must be members in good standing of NWTP for a minimum of nine (9) months preceding their nomination to those offices and, during that time, have attended at least two-thirds (2/3) of the general membership meetings. Candidates for the offices of Secretary and Treasurer must be members in good standing of NWTP for a minimum of six (6) months prior to their nomination to those offices and, during that time, have attended at least two-thirds (2/3) of the general membership meetings.
Each elected officer and standing committee chairperson shall be limited to two (2) one year consecutive terms in the same position, those terms commencing on January 1 and concluding on December 31, of each year. Exceptions may be made with approval of the Executive Board if no qualified member in good standing is willing to serve in an office.
Board member elections are held during the November general meeting. Induction of the elected board members to take place during the January general meeting. Elected Members to assume roles starting January 1st of the new year.
